Terms of service

The agreement between your organisation and us for using Miles. If you sign an order form or a separate agreement with us, that agreement wins where the two differ.

DraftLast updated 30 October 2026

This document is a draft under legal review. Highlighted text is still to be filled in. Until it’s final, the agreement you sign with us governs.

1Who these terms are between

These terms are an agreement between Twospoon legal entity name, of registered address (“Twospoon”, “we”, “us”), and the organisation that signs up for or uses Miles (“Customer”, “you”). The person accepting them confirms they can bind that organisation.

“Miles” or the “Service” means our software for running AI agents, in every way it can be deployed: Miles Managed Cloud, your own cloud account, or your own premises, including air-gapped.

2Accounts and access

You’re responsible for the people you invite to your workspace (“Users”), the roles you give them, and everything done under your accounts. Keep sign-in details safe and tell us at legal@twospoon.ai if you think an account has been misused.

You can require single sign-on and two-step sign-in for your workspace. Where you connect an identity provider or directory, you’re responsible for who it lets in.

3Agents act for you

Miles agents carry out tasks you and your Users give them, through the apps and accounts you connect. Their actions are taken on your behalf and under your instructions.

  • You decide which apps agents may use, what they may do in each, and which actions need a person’s approval. By default, sending, paying and deleting wait for approval.
  • You’re responsible for reviewing what an agent asks to do before you approve it, and for the actions it takes within the permissions you set.
  • AI output can be wrong or incomplete. Check it before you rely on it, especially for legal, financial, medical or safety decisions.
  • You can stop any task, any agent, or every agent at once with the kill switch.

4Acceptable use

You agree to use Miles in line with our Acceptable use policy, and to make sure your Users and agents do too. We may suspend access that breaks it, as described there.

5Your data

“Customer Data” means everything you, your Users and your agents put into or create with Miles: chats, files, instructions, what agents see and produce on their computers, and the data they reach in connected apps.

  • You own Customer Data. We use it only to provide, secure and support the Service for you, as set out in these terms and our Data processing agreement.
  • Miles agents use open-source AI models that Miles runs itself: in Miles Managed Cloud, in your own cloud account, or on your own premises, depending on how you deploy. We don’t send Customer Data to third-party AI model providers, and we don’t use Customer Data to train models.
  • Where you run Miles in your own cloud account or on your premises, the computers, their files and the models stay there. We receive only what that deployment sends us to run the Service, such as status and usage, and nothing at all when it’s air-gapped.
  • You’re responsible for having the rights and consents needed for the data you give Miles and the apps you connect.

Our Privacy policy explains how we handle personal data as a business in our own right, for example your account and billing details.

6Your own infrastructure

If you deploy Miles in your own cloud account or on your premises, you’re responsible for that infrastructure: its availability, capacity, security, costs and backups, and for applying the updates we provide. Our commitments for the parts we run are set out in your order form.

7Fees

Fees, plans, usage limits and payment terms are set out in your order form. Unless it says otherwise, fees are billed in advance, are due within 30 days of the invoice, and don’t include taxes, which you’ll pay apart from taxes on our income. Budgets you set in Miles control your usage; they don’t change what you owe for usage that has already happened.

8Our intellectual property

We own Miles, including its software, design and documentation, and everything we develop. These terms give you the right to use the Service during the term for your internal business purposes; they don’t transfer ownership of anything. If you send us feedback, we may use it without owing you anything.

Open-source components and models are licensed under their own licences, which apply to them.

9Confidentiality

Each side will keep the other’s confidential information confidential, use it only for this agreement, and share it only with people who need it and are bound by similar duties. This doesn’t cover information that is public, already known, independently developed or rightfully received from someone else. Either side may disclose information when the law requires it, after giving notice where it lawfully can.

10Warranties and disclaimers

We’ll provide the Service with reasonable skill and care, and in line with its documentation. Apart from that, and to the extent the law allows, the Service is provided “as is”, without other warranties, including fitness for a particular purpose. We don’t promise that AI output will be accurate or that the Service will be uninterrupted.

11Limits of liability

To the extent the law allows, neither side is liable for indirect or consequential losses, or for lost profits, revenue or data, and each side’s total liability under this agreement is limited to the fees you paid or owed us in the 12 months before the claim. These limits don’t apply to your payment obligations, to either side’s indemnity obligations, or to liability that can’t be limited by law.

12Indemnities

We’ll defend you against third-party claims that the Service, as we provide it, infringes their intellectual property, and pay the resulting costs and damages. You’ll defend us against third-party claims arising from Customer Data, or from your or your agents’ use of the Service in breach of these terms. The side being defended must tell the other promptly and let it control the defence.

13Term, suspension and ending

This agreement lasts for the term in your order form and renews as it says. Either side may end it if the other materially breaches it and doesn’t fix the breach within 30 days of notice. We may suspend access, as narrowly as we can, if needed to stop a security threat or a serious breach of the Acceptable use policy, and we’ll tell you why.

When the agreement ends, you can export your Customer Data for 30 days. After that we delete it from the systems we run, as set out in the Data processing agreement.

14Governing law

This agreement is governed by governing law (for example, the State of Delaware), and the courts (for example, the state and federal courts in Delaware) have exclusive jurisdiction over any dispute.

15Changes to these terms

We may update these terms. For a material change we’ll tell your workspace owners at least 30 days before it takes effect; it applies from your next renewal unless you agree sooner. The date at the top shows the latest version.

16General

Neither side may assign this agreement without the other’s consent, except to a successor in a merger or acquisition. Neither side is liable for delays caused by events outside its reasonable control. If a part of this agreement can’t be enforced, the rest still applies. This agreement, with your order form and the documents it refers to, is the whole agreement on its subject.
